Cayman Islands Company — Required Documents and Information

  1. 1

    Proposed Company Name

  2. 2

    Share Capital

The authorised share capital of the proposed exempted company. For most exempted companies the authorised share capital is US$50,000, which is the maximum share capital permitted at the minimum annual licence fee.

  3. 3

    Share Classes and Par Value

The share classes and par value of the shares the proposed exempted company plans to issue. If the exempted company may repurchase shares, it can arrange to issue a redeemable class of shares, such as redeemable preference shares.

  4. 4

    Shareholder or Beneficiary Details

The name and address of each shareholder or beneficiary, whether shares are issued in registered or bearer form, and the number of shares to be allocated to each shareholder or beneficiary. If bearer shares are to be issued, the name, address, telephone number, fax number and mailing address of the recipient of the share certificates must be provided.

  5. 5

    Broad Objects Clause

If the business scope of the exempted company is to be restricted, the client must provide detailed information on the company's objects and scope of business. If the client does not specify otherwise, we will adopt a standard objects clause, which is extremely broad and allows the company to carry on any business that a natural person may carry on.

  6. 6

    Filing with the Registry

The names and addresses of the directors and principal officers must be filed with the Registrar of Companies. Each person proposed as a director or principal officer must sign a consent to act. An exempted company needs only one director. The law does not require a company to appoint a company secretary, but many companies do appoint one. The director and secretary may be the same person.
